Business Organizations

The form of business chosen for a business entity potentially affects every aspect of its operations. The types of entities available in California include sole proprietorships, partnerships, corporations, and limited liability companies (LLC).

To determine the appropriate form of doing business, clients must consider a series of factors, including ease of formation, costs of formation, income tax considerations, the complexity of the business, sources of capital, centralization of management, exposure to liability, and continuity of the enterprise.

I offer representation in the formation process and procedures. I thereafter advise my clients about ongoing management issues and isolated transactions on an as-needed basis.

Nonprofit Organizations

When you are forming a 501(c)(3) public charity or any other type of tax-exempt organization, you must first form a nonprofit corporation. Thereafter, the organization applies for exemption from taxation at the state and federal levels.

I offer representation and counsel in accomplishing the following necessary steps to achieving tax exempt status:

  • Filing the Articles of Incorporation
  • Adopting bylaws
  • Developing your mission statement
  • Projecting income and expenses
  • Obtaining an employer identification number
  • Preparing and submitting an application to the IRS for exemption under Internal Revenue Code Section 501(c)(3).
  • Preparing and submitting an application to the Franchise Tax Board for exemption from state income tax.

Without proper guidance, the process can be confusing and frustrating. Assisting exempt organizations is a particularly gratifying part of my practice because I know that the IRS determination letter is vital to the existence of many worthwhile charities.

Bankruptcy

Regrettably, many find that their business objectives or personal finances cannot be resolved by any other alternative than bankruptcy. Filing for bankruptcy is a proceeding of last resort designed to give individuals and businesses a fresh start.

I provide debtor representation in voluntary bankruptcy proceedings under Chapter 7 and Chapter 13 of the Bankruptcy Code.

I also provide creditor representation in bankruptcy proceedings, including motions for relief from stay and proofs of claim.
